PURCHASER'S LICENCE AGREEMENT – (PREVENT-IT! LEARNING SYSTEM)

IMPORTANT: THIS AGREEMENT ("PLA") IS A LEGAL AGREEMENT BETWEEN THE PURCHASER ("PURCHASER") OF A LICENCE TO USE A PREVENT-IT! LEARNING SYSTEM COURSE ("SOFTWARE") AND INSIDE TRACK MEDIA LTD ("INSIDE TRACK") THE PUBLISHER OF THE SOFTWARE. THE PLA DEFINES AUTHORISED USERS FOR THE PURPOSE OF THE SOFTWARE'S END USER LICENCE AGREEMENT ("EULA"), AND ACCEPTANCE OF THE PLA IS A CONDITION OF THE LICENCE TO USE THE SOFTWARE. THE PLA SHOULD BE READ CAREFULLY.

THE PLA GRANTS THROUGH THE PURCHASER OF THE LICENCE TO CERTAIN OF THE THE PURCHASER'S EMPLOYEES CERTAIN RIGHTS TO USE THE SOFTWARE AS AUTHORISED USERS.

1. LICENCE

This PLA authorises the Purchaser's permanent or temporary employees or other members of staff in a number not exceeding the licensed users specified on the payment confirmation issued in relation to payment for the licence the right to use the Software for self training, test and assessment purposes only during the stated licence period.

The PLA allows the Purchaser to:

(a) use the Software on one or more computers, provided that the number of users does not exceed the number of Authorised Users.

(b) make one copy of the Software in machine-readable form solely for backup purposes. On any such copy, all copyright notices and any other proprietary legends appearing on the original copy of the Software must be reproduced.

The Purchaser undertakes to take all steps to protect the Software from unauthorised use, alteration, reproduction or distribution and to immediately notify Inside Track of any instances of unauthorised use, alteration, reproduction or distribution.

The Purchaser accepts the obligation to prevent violation of this PLA of the EULA and of the Copyright in the Software and undertakes to immediately notify Inside Track of any such violation.

2. LICENCE RESTRICTIONS

The Purchaser:

(a) may not decompile, reverse engineer, disassemble or otherwise reduce the Software to a human-perceivable form.
(b) may not resell the use of, rent, lease or sublicense the Software or administer its use by or within third parties or permit any of these.
(c) may not transfer any rights under this PLA or EULA.
(d) may not modify the Software or create derivative works based on it.

3. OWNERSHIP

This Software includes code, textures, 3D environments and other designs and explanatory text developed by Inside Track.

The Purchaser is given limited licence to use the Software. Inside Track and its suppliers retain all rights, title and interest, including all copyrights, in and to the Software and all copies thereof.

All rights not specifically granted in this PLA are reserved by Inside Track and its suppliers.

The Software in whole or in part may or may not be copy protected or encrypted. However, in all cases, reselling or redistributing these files without specific written authorisation from Inside Track is expressly forbidden.

In any dispute, English Law applies.
